Ms. Wagner provides general corporate and strategic business advice to companies of all shapes and sizes, from entrepreneurial start-ups to established, multi-national businesses transacting business in the United States and abroad. Ms. Wagner assists clients with contract negotiation, drafting, review, interpretation, defense and enforcement as well as asset management, transfers of control including mergers and acquisitions and other corporate restructurings. She represents clients at all stages of their business development working with them to achieve creative solutions to address their needs and create unique opportunities. She routinely advises on the structuring and implementation of diverse licensing arrangements, joint ventures, collaborations, acquisitions, dispositions and other contractual agreements.

Ms. Wagner provides corporations, limited liability companies and partnerships with aggressive, yet practical, legal strategy relating to the issues these entities face. She handles companies’ incorporation/organization, corporate governance issues, the drafting and review of contracts and leases and intellectual property protection and licensing.

Ms. Wagner further protects employers by drafting effective and enforceable employment, non-compete, non-solicitation, trade secret and confidentiality agreements and policies. She has successfully represented employers in challenging and defending non-competition and non-solicitation agreements. Ms. Wagner’s litigation and arbitration experience allows her to provide clients with preventative and proactive strategies that, whenever possible, avoids litigation. However, when necessary, Ms. Wagner will vigorously pursue employer and employee claims for unfair competition, libel/business defamation, tortious interference, conspiracy, breach of contract, misappropriation of trade secrets and breach of fiduciary duty.

Ms. Wagner’s transactional experience is complemented with a well-rounded litigation practice. She began her career as a commercial litigator gaining trial experience in federal and state courts. She has worked on complex commercial litigation issues, including such areas as contracts, commercial transactions, fraud, libel, trade secrets, civil conspiracy, trademark and patent infringement litigation. More recently, a significant portion of her practice focuses on the litigation and advocacy relating to use of public rights of way and governmental claims for compensation. She assists clients with fiber optic infrastructure development, including condemnation work and access to public rights of way via permits, licenses and easements. She has significant experience representing entities with the power of eminent domain during all stages of the condemnation process, including reviewing and revising easements and right-of-way agreements, negotiating for the acquisition of real property interests prior to the initiation of condemnation proceedings and filing and defending condemnation proceedings. In addition, Ms. Wagner provides utilities with advice on the legitimacy of railroad license terms and fees. Whether prosecuting or defending a claim, Ms. Wagner serves clients as an effective advocate and a prudent, thoughtful counselor. Recognizing the strain litigation places on a company, Ms. Wagner strives to target effective discovery to resolve disputes quickly and use motions practice to dispose of the case without the necessity of a lengthy pre-trial or trial.

Ms. Wagner served as the Publications Editor for the George Mason University Civil Rights Law Review during law school.

Education

A graduate of the University of Illinois, Champaign-Urbana, Ms. Wagner double majored in History and Communications. She received her Juris Doctor at the George Mason University School of Law.
